1. General Terms
By accessing or using the services provided through the MusicYes platform (“MusicYes”, “we”, “us”, “our”), you agree to be bound by these Terms. These Terms apply to both individuals and legal entities.
MusicYes is a digital music distribution and rights-management platform operated by R3volution S. de R.L., a company incorporated under the laws of the Republic of Panama, with registered address in Panama City, Republic of Panama.
This Agreement is governed by the laws of the Republic of Panama.

2. Compliance Disclaimer
MusicYes operates as a technology and rights-management service provider. MusicYes does not provide legal advice and does not guarantee acceptance, monetization, ranking, availability, or continued distribution of any content on Digital Service Providers (“DSPs”). All actions are subject to DSP policies, third-party platforms, and applicable law.

3. Registration, Verification & KYC
Users must provide accurate, complete, and up-to-date personal or company information. Identity and ownership verification may be conducted through third-party compliance providers. MusicYes may suspend or terminate accounts where verification fails or information is misleading or incomplete.

4. Ownership, Upload Responsibility & Indemnification
You represent and warrant that you own, control, or have obtained all rights, licenses, permissions, and authorizations required to upload, distribute, monetize, and administer any content submitted through MusicYes.
MusicYes is not the creator, publisher, producer, or rights owner of user-uploaded content. All content is uploaded solely at the direction of the user. The entire legal responsibility for uploaded content rests exclusively with the uploader, including copyright, neighboring rights, publishing rights, trademarks, personality rights, and any other intellectual property or related rights.
MusicYes does not assume editorial control or legal responsibility for user-submitted content. The platform functions solely as a technical intermediary.
MusicYes may employ automated systems, metadata checks, fingerprinting, or other technical measures designed to identify potentially non-genuine, infringing, or suspicious releases. These measures are provided on a best-effort basis only and do not constitute legal verification, clearance, approval, or endorsement. The existence or use of such systems does not transfer or reduce the uploader’s responsibility.
You agree to fully indemnify, defend, and hold harmless R3volution S. de R.L., MusicYes, its officers, employees, partners, and affiliates from any claims, losses, damages, takedowns, penalties, chargebacks, legal fees, or liabilities arising from:
Content uploaded, distributed, or monetized by you;
Lack of ownership, authorization, or misrepresentation;
DSP takedowns, suspensions, penalties, or clawbacks;
Fraudulent, misleading, or unlawful activity.
MusicYes reserves the right, but has no obligation, to remove, block, suspend, or disable access to content or accounts where potential violations are suspected.

5. Royalties, Accounting & Payments
Royalties are calculated exclusively based on reports received from DSPs and partners and are paid net 60 days. MusicYes retains a 25% administrative and service fee. No minimum revenue, earnings, or performance is guaranteed.

6. Artificial Streaming, Abuse & Fraud
Artificial streaming, bots, click farms, manipulated traffic, or fraudulent activity are strictly prohibited. MusicYes may withhold royalties, reverse payments, terminate accounts, and cooperate with DSPs, partners, payment processors, or authorities.

7. Limitation of Liability
Services are provided “as is” and “as available”. To the maximum extent permitted by law, MusicYes and R3volution S. de R.L. shall not be liable for indirect, incidental, special, or consequential damages, including lost profits, lost revenue, lost data, or business interruption.

8. Jurisdiction
Any dispute arising from or related to these Terms shall be resolved exclusively in the courts of Panama City, Republic of Panama.

9. Updates to Terms
MusicYes reserves the right to update or modify these Terms at any time. Continued use of the service after updates constitutes acceptance of the revised Terms.
